CONTEST RULES

1. REQUIRES NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN. OPEN TO LEGAL RESIDENTS 18 OR AGE OF MAJORITY AT DATE OF ENTRY INTO CONTEST.  ALL U.S. FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY.  VOID WHERE PROHIBITED.

2. Contest Name: TV.com Awards Promotion.

3. Description of Contest: Runs July 9th – July 14th, 2010. All entries must be received by midnight eastern July 14th, 2010 and all entrants will be notified at www.BoomDizzle.com of the winners name via email sometime before on July 16th, 2010. Sponsors are not responsible for entrants that do not receive the winner email notifications.

4. To enter the Contest simply log into www.boomdizzle.com/want2BonStage and follow the instructions to upload your entry.  Entry will consist of a /audio of the participant performing/singing original musical material created by participant. Multiple trax entries are acceptable and more than one person in a household may enter. See Sections 23 and 24 below for more details.

5. Other Requirements: Winner(s) responsible for all Federal, State and/or City taxes that may apply; no purchase necessary.

6. Prize(s) – an artist/group will win travel to and the ability to open the TV.com award show from PETCO Park in San Diego, CA on July 23rd, 2010. Prize includes: travel for the artist/group to travel to San Diego, CA from July 22nd-24th, 2010 including coach airfare (if need or car reimbursement), hotel accommodations, destination ground transportation, ability to meet LLCOOLJ and meal per Diem of $35 per person. Exact value of the prize shall be determined once number of travelers is determined. It should be noted that only performing artists will be permitted to attend the event, no managers, fans, family members or the like will be able to attend the performance/event, as part of the prize. All expenses relating to acceptance of the Prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages and gratuities are the responsibility of the Winner. Certain travel restrictions may apply. Specifics of Prize travel package are subject to availability and BoomDizzle’s (“Sponsor”) sole discretion. Complete terms and conditions of trip will be furnished with Prize notification. Travel must be made through Sponsor's agent on a carrier of Sponsor's choice.

7. Winner Selection: A panel of judges, comprised of representatives of the Sponsor, whose decision will be final and binding, will select the winner from amongst all eligible entries received.

8. ELIGIBILITY:  Participants and winner(s) must be U.S. residents at least 18 years old.  U.S. residents 13 years of age or older are eligible if a parent or guardian signs a release on behalf of the minor to be eligible to receive a prize, but parents must pay for their own travel to chaperone their minor child to the event. Any minor child under the age of 18 must be accompanied by a parent or legal guardian. BoomDizzle.com reserves the right to refuse to award a prize to or on behalf of any minor.  Employees of the Contest Entities (as defined below), its affiliates, other online music sources, media outlets, promotional sponsors, and all affiliated companies (and the immediate family members of all such employees, and all other with whom they are domiciled) are not eligible to participate in the contest or win prizes.  The term immediate families includes spouses, grandparents, siblings, children, and grandchildren, whether as “in-laws,” or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension and any other persons residing at the same household whether or not related.

9. ODDS:  The odds of winning a prize depend on the number of people that participate in the contest.

10. TELEPHONE AND DELIVERY DISCLAIMER.  Participants are restricted to the use of ordinary telephone and internet equipment.  BoomDizzle.com disclaims all liability for the inability of a participant to complete or continue a telephone call or internet means due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond BoomDizzle.com control, or otherwise.  BoomDizzle.com disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method.  Entries must be uploaded to the BoomDizzle.com site.  BoomDizzle.com is not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an online entrant’s ability to participate in the contest, and any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in or downloading any information necessary to participate in this contest.

11. WINNER NOTIFICATION AND ACCEPTANCE:  The winner may waive his or her right to receive the prize.  Prizes are non-assignable and non-transferable.  No substitutions allowed, except that prizes and individual components of prize packages are subject to availability and BoomDizzle.com reserves the right to substitute prizes of equal or greater value.  The winner is solely responsible for the reporting and payment of any taxes on prizes.  As a condition of receiving the contest prize, the winner will be required to complete and execute an Artist Agreement (i.e. an agreement relating to any appearance/performance by Artist at the 2010 TV.com NOW Awards, attached hereto and hereby incorporated herein by reference), an affidavit of eligibility, a liability and publicity release, and complete an IRS W-9 Form which must be signed at the time the winner, claims his/her prize.  Failure to sign the Artist Agreement, affidavit or release, or to comply with any term or condition of these OFFICIAL RULES, may, at the sole discretion of BoomDizzle.com, result in winner’s disqualification, the forfeiture of his or her interest in the prize.  Participation in the contest constitutes the winner’s consent to the terms and conditions of the Artist Agreement. Participants may ask for more information about the terms and conditions of the Artist Agreement through BoomDizzle.com. Except where prohibited, participation in the contest constitutes the winner’s consent to the publication of his or her name and image in on-air promotional announcements and other promotional material from BoomDizzle.com, and on the BoomDizzle.com, interactive web sites, and to the inclusion of his or her name and image in any other related publications or web sites for any commercial or promotional purpose, without limitation or additional compensation.  The winner’s list may be obtained by sending a request with self-addressed, stamped envelope to 4157 Britts Gate Lane, Tucker, Georgia, 30084.

12. CLAIMING A PRIZE:  Any winner has 12 hours to claim a prize from the date/time awarded via phone and/or email notification.  Prizes will not be available after 12 hours.  Winner will be contacted via phone and/or email. Winner must respond to messages within 12 hours or an alternate winner will be selected.

13. TAXES.  Any valuation of the prize(s) stated above is based on available information provided to BoomDizzle.com and the value of any prize awarded to a winner may be reported for tax purposes as required by law.  Each winner is solely responsible for reporting and paying any and all applicable taxes.  Each winner must provide BoomDizzle.com, with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded.  Prizes are not transferable or redeemable for cash.  Any person winning over $600 in prizes from BoomDizzle.com stations will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.

14. PARTICIPATION:  Participation in the Contest constitutes an agreement by each contestant to comply with these official Rules.  BoomDizzle.com reserves the right to cancel or modify the Contest at any time as announced on the station.  BoomDizzle.com disclaims any responsibility to notify participants of any aspect related to the conduct of this contest.  Written copies of these rules are available during normal business hours at the business offices of the company and by mail upon written request with a stamped, self-addressed return envelope.  All entries become the property of BoomDizzle.com and will not be returned.

15. DISQUALIFICATION:  BoomDizzle.com reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the contest, or obtained winner status using fraudulent means.  Further, BoomDizzle.com will resolve any disputes, conflicting claims or ambiguities concerning the rules and the contest. BoomDizzle.com’s decisions concerning such disputes shall be final.  All decisions will be made by BoomDizzle.com and are final.  BoomDizzle.com may waive or change any of these rules at its sole discretion.

16. LIMITATIONS OF LIABILITY:  By entering the contest, contestant agrees that (1) any and all disputes, claims, and causes of action arising out of or connected with the contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action;  (2) Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the contest but in no event attorneys’ fees: and (3) under no circumstances will any contestant be permitted to obtain any award for, and contestant hereby waives all rights to claim punitive, incidental or consequential damages and/or any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

17. CONSTRUCTION:  All issues and questions concerning the construction, validity, interpretation and enforceability of these OFFICIAL RULES, or the right and obligations of the contestant and BoomDizzle.com in connection with the contest, shall be governed by, and construed in accordance with the laws of the state of California.  The invalidity or enforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

18. GENERAL RELEASE:  By entering the contest, contestants release BoomDizzle.com, the Contest Entities, Padres L.P., the City of San Diego, any other promotional sponsors, and each of their respective parents, affiliated companies, directors, officers, employees, representatives and agents from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the contest or with the acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light).

19. Contest is sponsored and managed by BoomDizzle.com, 4157 Britts Gate Lane, Tucker, Georgia 30084, whose decisions regarding the selection of winners and all other aspects of contest shall be final and binding in all respects.  BoomDizzle.com will not be responsible for typographical, printing or other advert errors in these OFFICIAL RULES or in other contest materials.  If you have any questions regarding a contest, please contact the Rules Department, 4157 Britts Gate Lane, Tucker, GA 30084, 404.431.7249.

20. Winner/Artist must be able to attend the TV.com Award Show event from July 22nd-24th, 2010 in San Diego, CA and agree to perform on July 23rd, 2010 at PETCO Park San Diego, CA from 4:00pm-8:00pm pacific local time. If winner is not available to travel and/or perform on the dates and times specified, winner will forfeit the prize and an alternate winner will be selected.

21. Artist must be available for rehearsal, meetings, performance, press and any other events/situations that the company, BoomDizzle.com deems necessary.

22. Artist and Artist’s agents or employees shall not, at any time, make disparaging, derogatory or critical public statements at or about the Event, the Producer, Entertainment Marketing Company, CBS Interactive Inc., Boomdizzle Networks the Event sponsors and/or the venue.

23. Music – all material must be clean/radio-ready including but not limited to sexually explicit content, threatening content or references to drugs, weapons or alcohol, original material is only acceptable – no remixes, sound bites or samples are permitted.

24. Performance – single artists performing to track/CD or live bands are all eligible to enter.

25. Ownership of Performance – Subject to the terms and conditions of the Artist Agreement relating to any appearance/performance by Artist at the 2010 TV.com NOW Awards, Artist agrees that BoomDizzle owns all rights to Artist’s performance and the audio/video recording of Artist’s performance for promotional use now and in the future. Artist shall share in any publishing or profit from the sale of the performance video/audio that BoomDizzle realizes.

26. Wardrobe – BoomDizzle.com will coordinate artist wardrobe and BoomDizzle.com will have final approval on the artist’s attire for the performance.

27. Contest Entities - Producer, MKTG Inc., Entertainment Marketing Company (“EMC”), CBS Interactive Inc. (“CBSi”) and Boomdizzle Networks (“Boomdizzle”).
